Terms of Service

By accessing or using the Adchemy platform ("the Service"), you unconditionally agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must immediately cease all use of the Service.

These Terms constitute a legally binding agreement between you and Adchemy Ltd ("Adchemy", "we", "us", or "our"), a company registered in England and Wales. We reserve the right to amend these Terms at any time and without prior notice. It is your sole responsibility to review these Terms periodically. Continued use of the Service following any amendments constitutes your acceptance of the revised Terms.

The Service is available only to individuals aged 18 or over who possess the legal capacity to enter into binding agreements. By registering, you represent and warrant that you meet these eligibility requirements.

You agree to provide accurate, current, and complete information during registration and to maintain the accuracy of such information at all times. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must notify us immediately at support@adchemy.com of any unauthorised use of your account or any other breach of security. We shall not be liable for any loss or damage arising from your failure to comply with this obligation.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service strictly in accordance with these Terms. This licence does not include any right to sublicence, resell, or redistribute the Service.

You must not, under any circumstances:

• Use the Service to create, distribute, or promote misleading, defamatory, obscene, or unlawful content
• Attempt to gain unauthorised access to any part of the Service, its servers, or any connected systems
• Interfere with, disrupt, or place an unreasonable burden on the Service or its infrastructure
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform
• Use automated systems, bots, scrapers, or similar tools to extract data from the Service
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Use the Service in any manner that violates applicable local, national, or international law

All content, features, functionality, design, code, graphics, logos, trademarks, and trade names associated with Adchemy are the exclusive property of Adchemy Ltd and are protected by copyright, trademark, patent, and other intellectual property laws of England and Wales and international treaties.

Ad creatives generated by you through the Service are yours to use commercially, subject to these Terms. However, you hereby grant Adchemy a non-exclusive, worldwide, royalty-free licence to use, reproduce, and display such generated content solely for the purposes of operating, improving, and promoting the Service.

You must not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Adchemy intellectual property without our prior written consent. Unauthorised use may result in legal proceedings.

Certain features of the Service require a paid subscription. All fees are quoted in pounds sterling (GBP) unless otherwise stated and are exclusive of VAT where applicable.

Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the renewal date. You are solely responsible for managing your subscription and ensuring timely cancellation if you do not wish to renew.

We reserve the right to modify our pricing at any time. Existing subscribers shall be given 30 days' written notice of any price changes.

You are solely responsible for all content you upload, submit, or generate through the Service ("User Content"). You represent and warrant that your User Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.

We reserve the right to remove, disable, or restrict access to any User Content that we determine, in our sole discretion, violates these Terms, is harmful, objectionable, or otherwise inappropriate. We are not obligated to monitor User Content but may do so at our discretion.

We shall use commercially reasonable efforts to ensure the Service is available at all times. However, we do not guarantee uninterrupted, error-free, or secure access to the Service. Scheduled and unscheduled maintenance, updates, or circumstances beyond our control may result in temporary unavailability.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by the laws of England and Wales, Adchemy, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or revenue, arising from or in connection with your use of the Service.

You agree to indemnify, defend, and hold harmless Adchemy, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or in connection with:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any User Content you submit, upload, or generate through the Service

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service, other users, or our business interests.

Upon termination, your right to use the Service ceases immediately. We may, at our discretion, delete your account data. We are under no obligation to retain or provide copies of your data following termination.

Any provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property, limitation of liability, indemnification, and governing law — shall remain in full force and effect.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in these Terms shall limit or exclude any rights you may have under applicable consumer protection legislation that cannot be lawfully limited or excluded.
